Who We Are
These terms are between you and Migrate LLC, a Wyoming limited liability company doing business as OpenRush.
Migrate LLC operates the OpenRush website, application, API, MCP server, documentation, and related services. In these Terms, the words we, us, and our mean Migrate LLC doing business as OpenRush. You means the person or organization accessing or using the Service.
If you use the Service on behalf of a company, client, agency, or other organization, you represent that you have authority to bind that organization to these Terms.
The Service
OpenRush gives people and AI agents structured marketing intelligence from search, website, and connected business data.
OpenRush helps users inspect domains, discover competitors, research keywords, review search visibility, audit pages, and turn raw marketing data into compact outputs that agents and teams can act on. You may access the Service through our website, dashboard, API, remote MCP connections, documentation, or other approved clients.
We may improve, modify, suspend, or discontinue parts of the Service from time to time. We will try to avoid unnecessary disruption, but we do not promise that any feature, data source, integration, endpoint, model behavior, credit cost, or client compatibility will remain unchanged forever.
Accounts, API Keys, and Connected Agents
You are responsible for your account, credentials, API keys, and the tools or agents you connect to OpenRush.
You must provide accurate account information and keep your login credentials secure. You are responsible for activity under your account, including activity from API keys, OAuth sessions, MCP clients, automations, and agents you authorize.
Do not share API keys publicly, embed them in client-side code, commit them to repositories, or use another user's credentials. If you believe your account or key has been compromised, revoke the key if available and contact us promptly.
Eligibility and Business Use
OpenRush is built for business use by adults and authorized teams.
You must be at least 18 years old and legally able to enter into these Terms. The Service is intended for business, professional, and organizational use, not for children or personal household use.
You are responsible for making sure your use of the Service complies with laws, contracts, platform rules, and internal policies that apply to you, your clients, and your connected data sources.
Your Data and Connected Sources
You keep your rights in the domains, keywords, prompts, files, credentials, and source data you submit or connect.
You may submit prompts, domains, URLs, keywords, competitors, account metadata, API requests, and other inputs to the Service. You may also connect third-party sources, such as analytics, search, advertising, content, or website data sources, if supported by the Service. We call this Customer Data.
You retain your rights in Customer Data. You grant us a limited right to process Customer Data to provide, secure, troubleshoot, support, improve, and develop the Service, and to comply with law. You represent that you have the rights and permissions needed to submit or connect Customer Data to OpenRush.
Results, Outputs, and Marketing Decisions
OpenRush provides marketing intelligence, not guaranteed rankings, revenue, legal advice, or financial advice.
The Service may generate rankings, opportunities, comparisons, recommendations, reports, summaries, next actions, or other outputs. Outputs may depend on third-party data, connected-source availability, freshness, coverage, algorithms, assumptions, and your inputs.
You are responsible for reviewing outputs before relying on them.OpenRush does not guarantee search rankings, traffic, conversions, revenue, advertising performance, business outcomes, or the continued availability or accuracy of any external source.
Acceptable Use
Use OpenRush lawfully, respectfully, and without trying to harm the service or others.
You agree not to use the Service to:
- break the law or violate another person's rights;
- send, store, or request illegal, harmful, or abusive content;
- attempt to bypass authentication, billing, limits, or security controls;
- probe, scan, overload, scrape, or disrupt the Service;
- resell, sublicense, or provide the Service as a competing product without our written permission;
- submit data you are not allowed to use or share;
- misrepresent OpenRush outputs as guaranteed facts when they are estimates, summaries, or probabilistic recommendations; or
- use the Service in a way that could damage OpenRush, our users, our providers, or the public.
Third-Party Services and Data
OpenRush relies on providers for hosting, authentication, billing, analytics, communications, integrations, and marketing data.
Parts of the Service may depend on third-party providers, APIs, datasets, platforms, marketplaces, and client applications. Their terms, privacy notices, rate limits, outages, pricing, data coverage, and content rules may affect your use of OpenRush.
If you connect a third-party account or source, you authorize us to access and process the connected data as needed to provide the Service. You are responsible for complying with the terms that govern those accounts and sources.
Credits, Billing, and Payment
Paid usage is managed through account credits, checkout, and billing terms shown in the app.
OpenRush may charge for usage through credits, plans, subscriptions, invoices, or other pricing shown in the Service. Credits and usage limits may apply across API calls, MCP calls, dashboard actions, and other account activity.
You agree to pay the fees, taxes, and charges shown at checkout or in your account. Unless the Service states otherwise or law requires otherwise, paid charges are non-refundable once fulfilled. We may update pricing, credit costs, limits, promotions, or packaging with notice where required.
Beta and Preview Features
Some features may be experimental, incomplete, or subject to faster change.
We may offer beta, preview, early-access, or experimental features. These features may be less reliable, change without notice, produce incomplete results, or be withdrawn. Use them with appropriate caution, especially before relying on them for client work, production automations, or material business decisions.
Ownership
Migrate LLC owns OpenRush. You own your Customer Data. Each side keeps what is theirs.
We and our licensors own the Service, including software, interfaces, documentation, designs, workflows, trade names, trademarks, and other intellectual property. These Terms do not transfer ownership of the Service to you.
Subject to these Terms and your payment obligations, we grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes.
Security and Confidentiality
We work to protect the Service, and you should handle credentials and outputs responsibly.
We use reasonable technical and organizational measures designed to protect the Service and Customer Data. No online service is perfectly secure, and you are responsible for using secure devices, networks, credentials, access controls, and agent/client configurations.
If either party receives non-public information from the other that a reasonable person would understand to be confidential, the receiving party will use it only for purposes related to the Service and will protect it with reasonable care.
Suspension and Termination
We may limit or suspend access for misuse, risk, unpaid fees, or legal reasons.
You may stop using the Service at any time. We may suspend, limit, or terminate access if we reasonably believe you violated these Terms, created security or legal risk, failed to pay amounts owed, abused the Service, or used the Service in a way that may harm us, our providers, users, or others.
Sections that by their nature should survive termination will survive, including payment obligations, ownership, confidentiality, disclaimers, limits of liability, indemnity, dispute terms, and definitions.
Disclaimers
The Service is provided as is, with no promise that every result, source, or feature will be perfect or uninterrupted.
To the fullest extent allowed by law, the Service and all outputs are provided "as is" and "as available." We disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Service will be uninterrupted, secure, error-free, accurate, complete, current, or compatible with every client, platform, model, or workflow.
Limitation of Liability
Our liability is limited to the amount you paid for the Service in the prior 12 months, unless law says otherwise.
To the fullest extent allowed by law, Migrate LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost goodwill, business interruption, or substitute services.
To the fullest extent allowed by law, our total liability for any claim relating to the Service or these Terms will not exceed the greater of 100 US dollars or the amount you paid us for the Service during the 12 months before the event giving rise to the claim.
Indemnity
You are responsible if your use of OpenRush creates claims against us.
You will defend, indemnify, and hold harmless Migrate LLC, its affiliates, officers, employees, contractors, and agents from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from your Customer Data, your use of the Service, your violation of these Terms, or your violation of law or third-party rights.
Governing Law and Disputes
Wyoming law governs these Terms, and we ask both sides to try to resolve disputes informally first.
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws rules. Before either party files a formal claim, the party with the dispute will contact the other and try in good faith to resolve it informally.
If a dispute cannot be resolved informally, the state or federal courts located in Wyoming will have exclusive jurisdiction, except where applicable law requires a different forum. You and Migrate LLC waive any right to a jury trial to the extent allowed by law.
Changes to These Terms
We may update these Terms as OpenRush changes.
We may update these Terms from time to time. If changes are material, we will take reasonable steps to notify you, such as posting the updated Terms, updating the date above, or sending notice through the Service. Your continued use of the Service after updated Terms become effective means you accept the updated Terms.
